Terms of Service

PLEASE READ THESE TERMS CAREFULLY

By accessing or using the services provided by Univoz Studio Inc., operating under the brand Univoz Media (“Univoz Media,” “we,” “our,” or “us”), you agree to be bound by these Terms of Service (“Terms” or “Agreement”).

If you are entering into this Agreement on behalf of an organization, you represent that you have the authority to bind that organization.

If you do not agree to these Terms, you must not use the Services.

1. OWNERSHIP

The Services are owned and operated by Univoz Studio Inc. (Univoz Media).

​

2. THE SERVICES

These Terms govern your use of the services provided by Univoz Media (collectively, the “Services”), including but not limited to:

  • Mobile applications created, configured, or published by Univoz Media

  • App infrastructure, hosting, and maintenance

  • Content management systems and publishing tools

  • Audio and video streaming services

  • Metadata integration (including Now Playing, artwork, and related data)

  • Website development and integration services

  • Technical support, consulting, and onboarding services

All Services are provided based on selected plans, agreements, or custom configurations.

3. CLIENT RESPONSIBILITY

You acknowledge and agree that:

  • You are solely responsible for all content within your application, website, or platform

  • You are responsible for ensuring compliance with all applicable laws and regulations

  • You are responsible for compliance with Apple App Store and Google Play policies

Univoz Media does not control, monitor, or guarantee the legality, accuracy, or quality of client-provided content.

4. PRIVACY POLICY AND TERMS OF USE

Your use of the Services is also governed by our Privacy Policy.

End users of applications developed through Univoz Media are subject to separate Terms of Use, which must be provided within each application.

5. TERM AND TERMINATION

5.1 Term

Services begin upon successful payment and continue according to the selected billing cycle.

​

5.2 Automatic Renewal

Subscriptions may automatically renew unless canceled prior to the next billing cycle.

​

5.3 Termination by Client

You may cancel your subscription at any time. Cancellation will take effect at the end of the current billing period.

​

5.4 Termination by Univoz Media

We reserve the right to suspend or terminate Services if:

  • Payment is not received

  • These Terms are violated

  • The Services are used improperly or unlawfully

​

5.5 Effect of Termination

Upon termination:

  • Access to Services may be removed

  • Data may be deleted after a reasonable period

  • Outstanding balances remain due

6. FEES AND PAYMENTS

6.1 Service Fees

Fees may include:

  • Onboarding or setup fees

  • Recurring subscription fees

  • Add-on services (e.g., streaming, advanced features)

  • All payments are non-refundable unless explicitly stated otherwise in the Refund Policy.

All fees are defined at the time of purchase.

6.2 Payment Authorization

By purchasing any Service, you authorize Univoz Media to charge your selected payment method on a recurring basis where applicable.

Payments are processed through third-party providers such as Stripe.

​

6.3 Failed Payments

If payment fails:

  • Services may be suspended or restricted

  • You remain responsible for all outstanding balances

6.4 Taxes

All fees are exclusive of applicable taxes unless otherwise stated.

​

7. ACCOUNT

To access certain Services, you may be required to create an account.

You agree to:

  • Provide accurate and complete information

  • Maintain the confidentiality of your login credentials

  • Be responsible for all activity under your account

Univoz Media is not liable for unauthorized access resulting from your failure to secure your account.

8. INTELLECTUAL PROPERTY

8.1 Univoz Media Platform

All underlying technology, infrastructure, systems, and software are the property of Univoz Media and are protected by applicable intellectual property laws.

​

8.2 Client Content

You retain ownership of all content you provide, including:

  • Audio, video, images, text

  • Logos and branding

  • Media and data

By using the Services, you grant Univoz Media a limited, non-exclusive license to host, process, display, and distribute your content solely for the purpose of delivering the Services.

9. THIRD-PARTY SERVICES

The Services may integrate with third-party platforms, including:

  • Apple App Store

  • Google Play

  • Stripe

  • Streaming infrastructure providers

  • External APIs

Univoz Media is not responsible for:

  • Third-party service interruptions

  • Platform policy changes

  • External system failures

Your use of third-party services is subject to their respective terms.

10. APP STORE COMPLIANCE

You acknowledge that:

  • All applications must comply with Apple and Google policies

  • Approval and publication are controlled by those platforms

  • Univoz Media does not guarantee approval

If an application is rejected due to technical issues, Univoz Media will assist in resolving them.

If rejected due to content or policy violations, the client is responsible.

11. METADATA AND STREAMING DISCLAIMER

Metadata (including song titles, artist names, and artwork):

  • Depends on external systems such as encoders, automation software, and streaming configurations

  • May not always be accurate, consistent, or available

Univoz Media integrates compatible metadata but does not guarantee its accuracy or continuity, especially when relying on third-party systems.

12. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Univoz Media shall not be liable for:

  • Indirect or consequential damages

  • Loss of data, revenue, or business

  • Service interruptions

  • Third-party failures

Total liability shall not exceed the amount paid by you for the Services during the previous billing period.

13. INDEMNIFICATION

You agree to indemnify and hold harmless Univoz Media from any claims arising from:

  • Your content

  • Your use of the Services

  • Violations of these Terms

14. MODIFICATIONS TO THIS AGREEMENT

Univoz Media may update these Terms at any time.

Continued use of the Services after updates constitutes acceptance of the revised Terms.

​

15. ENTIRE AGREEMENT

These Terms, together with the Privacy Policy and any applicable agreements, constitute the full agreement between you and Univoz Media.

​

16. GOVERNING LAW

These Terms are governed by the laws of the State of Florida, United States.
